By accessing or using Ultra Pay's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. Description of Services
Ultra Pay provides payment processing services, including:
- Credit and debit card processing
- ACH and bank transfer processing
- Digital wallet integration
- Cryptocurrency payment processing
- Subscription and recurring billing
- Fraud detection and prevention
- API and integration tools
3. Account Registration
Eligibility
To use our services, you must:
- Be at least 18 years old
- Have the legal authority to enter into this agreement
- Operate a legitimate business
- Comply with all applicable laws and regulations
Account Information
You agree to provide accurate, current, and complete information during registration and to update such information promptly when it changes. You are responsible for maintaining the confidentiality of your account credentials.
4. Prohibited Activities
You may not use our services for:
- Illegal activities or transactions
- Money laundering or terrorist financing
- Fraudulent or deceptive practices
- Processing payments for prohibited industries (as defined in our risk policy)
- Circumventing our security measures
- Interfering with our services or systems
- Violating intellectual property rights
5. Fees and Payments
Processing Fees
You agree to pay the processing fees as outlined in your merchant agreement. Fees are typically calculated as a percentage of transaction value plus fixed fees.
Settlement
Funds will be settled to your designated bank account according to the settlement schedule in your agreement, typically within 1-2 business days.
Reserves and Holds
We may establish reserves or place holds on funds to cover potential chargebacks, refunds, or other liabilities.
6. Chargebacks and Disputes
You are responsible for handling customer disputes and chargebacks. You agree to:
- Maintain adequate customer service
- Provide clear transaction descriptors
- Respond promptly to chargeback notifications
- Provide documentation to support transactions
- Pay chargeback fees and penalties
7. Data Protection and Privacy
You agree to:
- Comply with all applicable data protection laws
- Implement appropriate security measures
- Not store sensitive payment data
- Report security breaches promptly
- Obtain necessary customer consents
8. Compliance and Risk Management
KYC and Due Diligence
We conduct Know Your Customer (KYC) checks and ongoing due diligence. You agree to provide requested documentation and cooperate with our compliance procedures.
Monitoring
We monitor transactions for fraud, money laundering, and other suspicious activities. We may suspend or terminate accounts based on risk assessments.
9. Termination
By You
You may terminate this agreement at any time with 30 days written notice.
By Us
We may terminate or suspend your account immediately if you:
- Breach these terms
- Engage in prohibited activities
- Pose unacceptable risk
- Fail to pay fees or penalties
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTRA PAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Ultra Pay from any claims, damages, or expenses arising from:
- Your breach of these terms
- Your violation of applicable laws
- Your products or services
- Customer disputes or chargebacks
12. Dispute Resolution
Governing Law
These terms are governed by the laws of the State of New York, without regard to conflict of law principles.
Arbitration
Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except for claims that may be brought in small claims court.
13. Changes to Terms
We may modify these terms at any time. Material changes will be communicated via email or platform notifications. Continued use of our services constitutes acceptance of modified terms.
